Terms of Service

Benovi Limited Company, a Utah limited liability company doing business as Valni ("Valni," "we," "us") runs Switchboard, a service that sends your AI requests to model providers like OpenAI and Anthropic, measures what you use, and puts it on one bill. These terms cover your use of Switchboard and our websites and tools, which we call the "Service." By creating an account or using the Service, you agree to them.

The Service is an early release. It may be unavailable, change without notice, behave in unexpected ways, or lose data. We offer it as is, with no guarantees, so please don’t rely on it for anything critical.

• You must be at least 18 and able to enter a contract.
• You’re responsible for everything done under your account, and for keeping your keys and credentials secure.
• Give us accurate information, and keep it up to date.
• One person or organization per account, unless we agree otherwise.

• We send your requests to third-party model providers. We don’t control what those models produce, and we’re not responsible for it.
• AI can be wrong, biased, or surprising. Review what it gives you before relying on it, and take responsibility for how you use it.
• When you route to a provider, you agree to that provider’s terms. The provider can see your request and may use it under those terms, which often means training on it and reviewing content. That’s the provider’s doing, not ours. See our Privacy Policy.
• Your use also has to follow each provider’s rules. If a provider changes or drops a model, we may have to as well.

You agree not to use the Service to:

• break the law, or help anyone else break it;
• attack, overload, probe, reverse-engineer, or get into the Service or its systems without permission;
• make or share content that’s illegal or that breaks a provider’s rules;
• resell or re-expose the Service except as these terms allow;
• pretend to be someone else, or get around limits, suspensions, bans, or promotion caps;
• infringe anyone’s rights, or harass, harm, or defraud people.

These are binding rules, not suggestions. If you break them, or we reasonably think you have, we can, without notice, suspend or close your account, remove content, cancel and forfeit any credit, and block your access. We can also report illegal activity to the authorities and take any legal action open to us, including recovering what your breach costs us. Letting one violation go doesn’t waive our right to act on the next. These rights are on top of every other right we have under these terms or the law.

• Switchboard runs on prepaid credit. You add credit, and usage draws it down at each provider’s rate plus our fee, which we show before you pay.
• Prices and fees can change. We’ll always show current pricing before you buy.
• Paid credit can’t be refunded. Unused credit stays on your account and doesn’t expire.
• You’re responsible for any taxes that apply to you.

Sometimes we give free credit, for example to help you try the Service. It has no cash value, can’t be withdrawn or transferred, and can’t be refunded. You can only spend it on the Service, and we can limit, cap, or end it at any time. It’s there to help you try Valni, not money we owe you.

• You own the prompts you send and the outputs you get back, subject to the providers’ terms and the law.
• We process your requests to route and measure them. What we collect, and why, is in our Privacy Policy.
• You give us permission to turn your usage into anonymized, aggregated data, like which models are used and what requests cost, and to publish it for customers. This never includes your prompt content and never identifies you.

The Service, our software, brand, and content belong to us or our licensors. These terms let you use the Service as intended; they don’t give you any other rights to what’s ours.

• You can stop using the Service and close your account whenever you want.
• We can suspend or end your access if you break these terms, if we have to for legal or security reasons, or if we stop offering the Service.
• If your account ends, any unused credit, paid or free, is lost.

• The Service comes as is and as available, with no warranties of any kind.
• As far as the law allows, we’re not responsible for indirect or knock-on losses, or for what the AI produces or what providers do. If we ever owe you anything, it’s capped at what you paid us in the three months before the claim.
• Some places don’t allow these limits; where that’s true, they apply as far as the law lets them.

If someone brings a claim against us because of how you used the Service, or because you broke these terms, you agree to cover us for it, as far as the law allows.

We may update these terms. If a change is important, we’ll give you fair notice, by email or on the site. If you keep using the Service after that, you accept the new terms.

• These terms follow the laws of the State of Utah, without regard to its conflict-of-law rules.
• Disputes go to the state and federal courts in Utah, United States.
• If any part of these terms can’t be enforced, the rest still applies.
